These Terms of Use (“Terms”) govern your access to and use of CipherOwl’s websites, applications, APIs, Microsoft Teams applications, bots, and related services, including the Strix Microsoft Teams app (collectively, the “Services”). The Services are provided by CIPHEROWL INC. (“CipherOwl,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If your organization has a separate written agreement with CipherOwl covering the Services, that agreement governs your organization’s use of the Services. These Terms apply only to the extent they do not conflict with that separate agreement.

§ 1

The Services

CipherOwl provides cryptocurrency compliance, investigation, risk assessment, and related workflow tools.

“Strix” is a Microsoft Teams interface that allows authorized users to interact with certain CipherOwl capabilities from within Microsoft Teams.

The Services may include risk indicators, labels, alerts, reports, summaries, explanations, investigation assistance, and other outputs generated from blockchain data, customer-provided information, third-party sources, automated systems, or artificial intelligence models.

§ 2

Accounts and access

You may need a CipherOwl account, an authorized organization membership, or other credentials to use some or all of the Services. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You must provide accurate account information and keep it current. You may not share credentials except as expressly permitted by CipherOwl or your organization’s agreement with CipherOwl.

§ 3

Authorized use

You may use the Services only for lawful business, compliance, security, investigation, reporting, or risk-management purposes and only in accordance with these Terms, applicable documentation, and any agreement between CipherOwl and your organization.

You may not:

  • use the Services in violation of applicable law or regulation;
  • attempt to bypass access controls, rate limits, or security protections;
  • reverse engineer, scrape, copy, resell, or commercially exploit the Services except as expressly permitted;
  • use the Services to infringe, misappropriate, or violate the rights of others;
  • submit malicious code, harmful content, or unlawful data;
  • interfere with the integrity, availability, or performance of the Services;
  • use automated means to access the Services except through approved APIs or integrations;
  • use the Services to build, train, benchmark, or improve a competing product or service;
  • use the Services to evade anti-money laundering, sanctions, fraud prevention, or compliance controls.
§ 4

Customer data

“Customer Data” means information that you or your organization submits to the Services, including prompts, messages, addresses, transaction identifiers, case information, configuration data, files, and related materials.

You retain ownership of Customer Data. You grant CipherOwl the rights necessary to provide, secure, maintain, support, and operate the Services; comply with law; enforce these Terms; and perform obligations under any agreement with your organization.

CipherOwl may use aggregated, de-identified, or telemetry data to analyze, maintain, protect, and improve the Services, provided that such data does not identify you or your organization.

CipherOwl will not use Customer Data to train third-party foundation models unless expressly permitted by your organization’s agreement with CipherOwl or your organization’s written authorization.

You represent that you have all rights and permissions necessary to submit Customer Data to the Services. You should not submit sensitive personal information unless it is necessary for your authorized use of the Services and permitted by your organization’s policies and applicable law.

§ 5

Service outputs

“Service Outputs” means risk scores, labels, reports, alerts, explanations, summaries, paths, attribution information, investigation results, and other content generated or returned by the Services.

Subject to these Terms and any applicable agreement with CipherOwl, you may use Service Outputs for your organization’s internal business, compliance, investigation, reporting, filing, legal, audit, and risk-management purposes. You may share Service Outputs with authorized employees, advisors, auditors, regulators, law enforcement, counterparties, or service providers when reasonably necessary for those purposes.

You may not resell, redistribute, publish, sublicense, benchmark, or commercialize Service Outputs as a standalone data product or use Service Outputs to build or improve a competing product or service, except as expressly permitted by CipherOwl or a separate written agreement.

§ 6

Strix, Microsoft Teams, and third-party services

When you use Strix in Microsoft Teams, messages, prompts, commands, addresses, transaction hashes, files, and other content you submit to Strix may be transmitted to CipherOwl systems for processing.

Strix operates within Microsoft Teams and may depend on Microsoft services, Auth0, cloud infrastructure providers, blockchain data providers, artificial intelligence providers, and other third-party services.

Your use of Microsoft Teams is governed by your agreement with Microsoft. CipherOwl is not responsible for Microsoft Teams, Microsoft 365, or third-party services that are outside CipherOwl’s control.

§ 7

AI, third-party data, and professional responsibility

The Services may use artificial intelligence, automated analysis, blockchain data, third-party labels, public sources, proprietary datasets, and customer-provided information.

Service Outputs may be incomplete, delayed, inaccurate, probabilistic, or subject to change as new information becomes available. Blockchain attribution, labels, risk paths, alerts, and AI-generated explanations are tools for analysis and do not constitute legal conclusions, regulatory determinations, law enforcement findings, financial advice, investment advice, tax advice, or final statements of fact.

You are responsible for your own decisions, reports, filings, investigations, controls, and compliance obligations. You should not rely solely on the Services for legal, regulatory, financial, enforcement, or other high-impact decisions.

CipherOwl does not guarantee that third-party data sources, providers, or integrations will remain available, accurate, complete, or unchanged.

§ 8

Privacy

CipherOwl handles personal information as described in our Privacy Policy:

By using the Services, you acknowledge that CipherOwl may process personal information as described in the Privacy Policy.

§ 9

Service changes and availability

CipherOwl may modify, suspend, or discontinue parts of the Services from time to time. We may also update features, integrations, models, data sources, or supported blockchain networks.

We do not guarantee that the Services will be uninterrupted, error-free, or available at all times.

§ 10

Security

You must promptly notify CipherOwl if you become aware of unauthorized access to your account or organization.

You may not test, scan, probe, or attempt to compromise the Services except with CipherOwl’s prior written authorization. To report a suspected security vulnerability, contact support@cipherowl.com or any dedicated security contact published by CipherOwl.

CipherOwl may suspend or limit access if we reasonably believe that use of the Services creates security, legal, operational, compliance, or abuse risk.

§ 11

Intellectual property

CipherOwl and its licensors retain all rights, title, and interest in the Services, including software, models, workflows, designs, documentation, trademarks, datasets, and other intellectual property.

Except for the limited right to use the Services under these Terms, no rights are granted to you by implication or otherwise.

If you provide feedback, suggestions, or ideas, CipherOwl may use them without restriction or obligation to you.

§ 12

Confidentiality

The Services may expose non-public information about CipherOwl’s technology, workflows, documentation, pricing, roadmap, data sources, models, or business operations. You may use such information only for your authorized use of the Services and may not disclose it except as permitted by CipherOwl or your organization’s agreement with CipherOwl.

§ 13

Fees and subscriptions

Some Services require an active CipherOwl subscription, paid plan, or other authorization. Fees, payment terms, usage limits, and subscription terms are governed by your organization’s agreement with CipherOwl or the applicable ordering process.

§ 14

Suspension and termination

CipherOwl may suspend or terminate access to the Services if you violate these Terms, if your organization’s agreement expires or is terminated, if required by law, or if continued access presents legal, security, operational, compliance, or abuse risk.

You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, export and sanctions compliance, and governing law.

§ 15

Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, CipherOwl disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

CipherOwl does not warrant that the Services or Service Outputs will be accurate, complete, timely, uninterrupted, secure, or error-free.

§ 16

Limitation of liability

To the maximum extent permitted by law, CipherOwl will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or reputational harm.

To the maximum extent permitted by law, CipherOwl’s total liability arising out of or relating to these Terms or the Services will not exceed the amount paid to CipherOwl for the Services giving rise to the claim during the twelve months before the claim arose, or one hundred U.S. dollars if no amounts were paid.

§ 17

Indemnification

You will defend, indemnify, and hold harmless CipherOwl from and against claims, damages, liabilities, costs, and expenses arising from your misuse of the Services, violation of these Terms, violation of law, or Customer Data, including claims that Customer Data infringes rights or violates law.

§ 18

Export and sanctions compliance

You may not use the Services in violation of U.S. export control, sanctions, anti-money laundering, anti-bribery, anti-corruption, or other applicable laws.

You may not use the Services if you are located in, organized under the laws of, or ordinarily resident in a sanctioned or embargoed jurisdiction, or if you are identified on a restricted party list. You may not use the Services to facilitate transactions, activity, or evasion involving sanctioned persons, sanctioned jurisdictions, or prohibited activity.

§ 19

Changes to these Terms

CipherOwl may update these Terms from time to time. The updated Terms will be posted on this page with a new date. Continued use of the Services after the updated Terms are posted means you accept the updated Terms.

§ 20

Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles, unless your organization’s separate written agreement with CipherOwl provides otherwise.

Unless your organization’s separate written agreement with CipherOwl provides otherwise, the state and federal courts located in California will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
